We may offer paid features, subscriptions, or other products. Payments are processed by third-party payment processors such as Stripe. We do not store your full payment card details. Your payment may be subject to Stripe’s terms and policies, in addition to these Terms.

Unless otherwise stated at purchase:

• Fees are non-refundable except where required by law or explicitly stated by us in writing
• Taxes may apply and will be shown where applicable
• We may change pricing or plans prospectively (changes won’t apply retroactively to amounts already paid)

Permitted Use and Restrictions

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Copy, modify, distribute, sell, lease, or reverse engineer any part of the Services, except as permitted by law
• Access or use the Services to build a competing product or service
• Scrape, crawl, or harvest data from the Services except as permitted by us in writing
• Interfere with or disrupt the Services, including attempting to bypass security or access controls

• Use the Services in a way that violates any applicable law or regulation

Intellectual Property

The Services and all content, software, and materials provided by the Company (including text, graphics, logos, designs, and code) are owned by the Company or its licensors and are protected by intellectual property laws. All rights are reserved. You may not use our trademarks, logos, or branding without our prior written consent.

User Content and Feedback

If you submit information, content, or materials to us (including feedback, suggestions, or ideas), you grant the Company a non-exclusive, worldwide, royalty-free license to use it to operate, improve, and develop the Services. Do not submit anything you do not have the right to share.

The Services may integrate with or link to third-party websites or services. We do not control and are not responsible for third-party content, products, or services. Your use of third-party services is at your own risk and subject to their terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORX INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID US).

Indemnification

You agree to indemnify and hold harmless Vorx Inc. and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or your violation of these Terms.

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or if necessary to protect the Services, the Company, or others. You may stop using the Services at any time.

Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will survive.

Suspension and Termination

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Miscellaneous

• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• No Waiver: Failure to enforce a provision is not a waiver
• Assignment: You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or asset sale
• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement regarding the Services
